1. Agreement to terms
By creating an account, connecting a store, using the website, submitting a form, joining the partner program, or accessing the Service, you agree to these Terms and the Privacy Policy.
If you use the Service for a company, store, agency, or other organization, you represent that you have authority to bind that organization.
2. Company information
EcomBrain is operated by Ecombrain Solution LLC, a Wyoming limited liability company.
Legal notices should be sent to legal@ecombrain.io or by mail to Ecombrain Solution LLC, 30 N Gould St Ste 5240, Sheridan, WY 82801, United States, unless an order form, Data Processing Agreement, or enterprise agreement states a different notice address.
3. Description of service
EcomBrain connects ecommerce tools, ingests commerce data, identifies revenue work, generates recommendations, and may execute authorized actions on connected platforms within guardrails selected by the customer.
The Service includes the live-site product surfaces: data integration, AI-powered analysis, autonomous actions, reporting, dashboards, trust levels, spending limits, approval workflows, and action logs.

4. Eligibility and accounts
You must be at least 18 and able to enter a binding contract. You must provide accurate account, billing, store, and integration information and keep credentials secure.
You are responsible for all activity under your account and for promptly notifying EcomBrain of unauthorized access.
5. Subscriptions, payment, renewals, and refunds
Paid plans are billed in advance on the billing cycle shown at checkout or in the order form. Fees are exclusive of taxes unless stated otherwise. You authorize EcomBrain and its payment processors to charge applicable fees.
Subscriptions renew automatically unless cancelled according to the cancellation process provided in the product, checkout flow, or order form. Cancellation takes effect at the end of the current billing period unless the order form states otherwise.
Refunds are not provided except where required by law, expressly stated in an order form, or expressly offered in the checkout flow for the applicable plan.
6. Customer data and integrations
By connecting a third-party platform, you authorize EcomBrain to access, process, and act through that account as your agent within the permissions you grant and the autonomy settings you configure.
You remain responsible for having the rights and lawful basis to share data from connected platforms, for complying with platform rules, and for maintaining customer-facing privacy notices and consents.
7. AI features and autonomous actions
AI outputs are probabilistic, may be incomplete or inaccurate, and are not legal, tax, financial, accounting, advertising, or professional advice.
You are responsible for reviewing recommendations, setting trust levels, budgets, spending limits, approval thresholds, permissions, and guardrails, and deciding whether actions are suitable for your business.
EcomBrain does not guarantee revenue, profit, ROAS, margin, deliverability, platform approval, or business outcomes.
8. Third-party services
Connected platforms such as Shopify, Meta, Google, TikTok, Klaviyo, Stripe, analytics, logistics, and support tools are governed by their own terms and policies. EcomBrain is not responsible for their availability, decisions, policy enforcement, data accuracy, or outages.
9. Service availability and changes
EcomBrain works to maintain service availability, excluding planned maintenance, emergency maintenance, third-party failures, customer-caused issues, beta features, force majeure events, and internet or platform outages outside EcomBrain's reasonable control.
EcomBrain may modify, suspend, or discontinue parts of the Service, including beta features, integrations, AI workflows, and autonomous capabilities. Material adverse changes to paid plans should receive reasonable notice where feasible, generally 30 days for material platform changes unless security, legal, or operational urgency requires faster action.
10. Acceptable use
You may not use the Service to violate law, platform rules, privacy rights, advertising rules, sanctions, consumer protection rules, payment processor rules, or intellectual property rights.
You may not use the Service for deceptive pricing, fake discounts, spam, unauthorized scraping, credential sharing, unauthorized access, regulated/high-risk goods or services without written approval, or uploading sensitive personal data unless expressly supported by the DPA and product documentation.
11. Partner and affiliate terms
Approved partners and affiliates may earn the live-site 30% recurring commission on Net Subscription Revenue from Qualified Referrals, excluding taxes, refunds, chargebacks, discounts, credits, processing fees, and amounts not actually received by EcomBrain.
Affiliates must clearly and conspicuously disclose their material connection to EcomBrain whenever they promote, review, recommend, link to, or endorse the product. Examples include: 'I may earn a commission if you buy through this link,' 'Paid link,' '#ad,' or '#sponsored.'
Referral examples and calculators are illustrative only. EcomBrain does not guarantee income, referrals, commissions, passive earnings, or business results. Affiliates may not use branded search bidding, fake coupons, self-referrals, cookie stuffing, forced clicks, bots, spam, misleading claims, impersonation, or attribution manipulation.
Commissions may remain pending for at least 30 days to account for refunds, chargebacks, fraud review, and subscription validation. Affiliates are independent contractors and are solely responsible for taxes, duties, payout information, and required tax forms.
12. Intellectual property
EcomBrain and its licensors own the Service, software, workflows, models, design, documentation, trademarks, and proprietary methods. You retain ownership of your Customer Data and grant EcomBrain the limited rights needed to provide and improve the Service.
13. Confidentiality
Each party must protect non-public information disclosed by the other party and use it only to perform obligations or exercise rights under these Terms, except where disclosure is required by law or permitted in writing.
14. Disclaimers
The Service is provided 'as is' and 'as available' to the maximum extent permitted by law. EcomBrain disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free performance, and guaranteed outcomes.
15. Limitation of liability
To the maximum extent permitted by law, EcomBrain will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost ad spend, lost data, chargebacks, refunds, inventory decisions, pricing changes, platform suspensions, third-party integration failures, or business interruption.
To the maximum extent permitted by law, EcomBrain's total cumulative liability arising out of or related to the Service or these Terms will not exceed the greater of fees paid by the customer to EcomBrain in the 12 months before the claim or USD $100.
16. Indemnity
You will defend, indemnify, and hold harmless EcomBrain from claims, losses, liabilities, damages, costs, and expenses arising from your data, integrations, stores, customers, products, platform permissions, breach of these Terms, violation of law, or misuse of the Service.
17. Suspension and termination
EcomBrain may suspend or terminate access for non-payment, security risk, legal risk, platform abuse, inaccurate information, breach of these Terms, or use that may harm EcomBrain, customers, third-party platforms, or the public.
Upon termination, access ends and EcomBrain may delete Customer Data after any export/deletion period required by contract or law, subject to backup, tax, legal, and security retention.
18. Governing law and disputes
Wyoming law governs these Terms without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to attorney confirmation and any applicable consumer-law limits, disputes should be resolved by binding arbitration administered by AAA or JAMS under commercial rules, with one arbitrator, English language, and venue or seat in Wyoming. Either party may seek injunctive relief in court to protect intellectual property, confidential information, account security, or unauthorized platform access.
19. Changes
EcomBrain may update these Terms. Material changes will be communicated where required by law or contract. Continued use after changes become effective constitutes acceptance of the updated Terms.
